1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Jinnicore ("we," "us," or "our"), concerning your access to and use of our website as well as any other media form, service, or software solution provided by Jinnicore. By accessing the site or utilizing our services, you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree with all of these terms, then you are expressly prohibited from using the site and our services.
2. Intellectual Property Rights
Unless otherwise indicated, the website, proprietary software frameworks, source code, databases, website designs, audio, video, text, photographs, and graphics on the site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by Jinnicore or licensed to us, and are protected by copyright and trademark laws. Except as expressly provided in these Terms, no part of the Site or Content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever without our express prior written permission.
3. Professional IT & Development Services
Jinnicore provides enterprise IT management, cybersecurity, cloud infrastructure, AI automation, and custom software development services. Specific project deliverables, scope of work, timelines, SLAs (Service Level Agreements), and payment schedules for client engagements shall be governed by individual Master Services Agreements (MSA) or Statements of Work (SOW) executed between Jinnicore and the client. In the event of a conflict between these general Website Terms and a signed client MSA or SOW, the terms of the signed MSA/SOW shall prevail.
4. User Representations & Responsibilities
By using the site and our communication channels, you represent and warrant that: ā¢ All registration and contact information you submit is truthful, accurate, and up-to-date. ā¢ You have the legal capacity and agree to comply with these Terms and Conditions. ā¢ You will not access the site through automated or non-human means, whether through a bot, script, or otherwise. ā¢ You will not use the site or our systems for any illegal, unauthorized, or malicious activity, including unauthorized vulnerability scanning or denial-of-service attempts.
5. Fees & Payment Terms
Invoices for consulting, software development, and managed IT services shall be paid in accordance with the payment terms stipulated in the applicable Statement of Work or commercial agreement. Late payments may accrue interest at the maximum rate permitted by law. All fees are exclusive of applicable taxes unless stated otherwise.
6. Confidentiality & Data Protection
Both parties agree to hold in strict confidence all technical, business, financial, or strategic information disclosed during project discussions or service delivery. Our handling of personal data submitted via our website is governed by our Privacy Policy, which is incorporated into these Terms by reference.
7. Limitation of Liability
In no event will Jinnicore, its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site or our IT services, even if we have been advised of the possibility of such damages.
8. Termination
We reserve the right to suspend or terminate access to our website or online services immediately, without prior notice or liability, if you breach these Terms and Conditions or engage in activity detrimental to Jinnicore's infrastructure or reputation.
9. Governing Law & Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any legal action or proceeding arising under these Terms shall be instituted exclusively in courts having competent jurisdiction.
